These Terms of Service are the agreement between you and Pandamensional Inc. for your use of OmniPanda. Please read them. They explain what OmniPanda does, what it does not do, and who is responsible for what — including what happens when you let OmniPanda place trades in your brokerage account for you.
1. Who we are and what these terms cover
1.1 OmniPanda is operated by Pandamensional Inc., a Delaware corporation ("OmniPanda", "we", "us", "our"), at 103 Mint Pl, Athens, GA 30606, USA. You can reach us at info@pandamensional.ai.
1.2 These terms cover the OmniPanda website and web app at app.omnipanda.ai, our mobile apps for iOS and Android, and every feature in them (together, the "Service").
1.3 By creating an account, or by using the Service, you agree to these terms. If you do not agree, do not use the Service.
1.4 Two other documents form part of this agreement, and you agree to them too:
- our Privacy Policy, which explains what data we collect and what we do with it; and
- our AI Disclosure, which explains how OmniPanda uses AI and where AI falls short.
Links to both are at the bottom of this page.
1.5 Your brokerage has its own agreement with you. Nothing here changes it. If these terms and your brokerage's agreement disagree about your brokerage account, your brokerage's agreement wins.
2. Who may use OmniPanda
2.1 Age. You must be at least 18 years old. The Service is not for children, and we do not knowingly collect information from anyone under 18.
2.2 Capacity. You must be able to enter a binding contract, and you must be using the Service for yourself, not on behalf of someone else, unless we have agreed in writing.
2.3 Where we operate. The Service is offered to people in the United States, and we do not market it anywhere else. If you use the Service from outside the United States you do so on your own initiative, and you are responsible for following the law that applies to you. Some brokerages you can connect are outside the United States; that does not change where we offer the Service. We may block or limit access from any country.
2.4 Sanctions and export. You may not use the Service if you are subject to economic sanctions, or are located in a sanctioned country or territory, or are on a restricted-party list.
2.5 Your account. Give us accurate information and keep it up to date. Keep your password and your devices secure. You are responsible for everything that happens under your account. Tell us at info@pandamensional.ai as soon as you think someone else has access to it.
2.6 One account per person, unless we agree otherwise.
3. What OmniPanda is
OmniPanda is software. It helps you research investments, understand the portfolio you already hold, and — if you choose — have an AI manage a brokerage account you connect. Depending on your plan and the brokerage you connect, the Service can include:
3.1 Chat with an AI assistant that answers questions about markets, companies and your own holdings, and that can show interactive widgets, charts and reports in the conversation.
3.2 Market data and research pages — quotes, charts, fundamentals, news, screeners and watchlists.
3.3 Brokerage connections — a secure, delegated sign-in that links a brokerage account you already have, so OmniPanda can read that account and, at supported brokerages, place orders in it.
3.4 A trade widget that lets you place an order yourself, from chat or from a stock's page, at brokerages that support trading through OmniPanda.
3.5 AI Portfolio — you enroll a connected brokerage account, answer questions about your goals and risk tolerance, and set limits. OmniPanda then reviews that account on a schedule you choose and produces a trade plan. Depending on the mode you select, it either waits for your approval or places the trades itself. Section 6 explains this in full.
3.6 Strategies and backtests — tools that test an approach against historical data.
3.7 Paper accounts — simulated accounts funded with virtual cash, for practice. See section 8.
3.8 Voice mode — you can speak to the assistant and have it speak back.
3.9 Notifications — in-app messages and emails about your account, your portfolios and the Service, and mobile push notifications in our mobile app if you allow them.
3.10 Points, plans and rewards — see section 11.
We add, change and remove features. Nothing in this list is a promise that a particular feature will exist, keep working the same way, or support a particular brokerage.
4. What OmniPanda is not
This section matters more than any other. Please read it twice.
4.1 We are not a broker-dealer, a bank, or a custodian. We do not hold your money. We do not hold your securities. We do not open brokerage accounts, clear trades, or settle them. Every account you use with OmniPanda is your own account at your own brokerage, governed by your agreement with that brokerage. Your brokerage — not OmniPanda — holds your cash and your investments, sends your statements and trade confirmations, and is responsible for executing your orders.
4.2 We cannot move your money out. A brokerage connection lets OmniPanda read your account and, where you have enabled it, place orders. It does not let us withdraw cash, transfer securities, or send money anywhere.
4.3 Not investment advice. Pandamensional Inc. is not a registered investment adviser and is not a broker-dealer, and we do not give personalised investment advice. What OmniPanda produces is information and automation that you direct. In Automatic mode it places trades in an account you enrolled, within the limits you chose.
Whatever OmniPanda shows you — a suggestion, a score, a trade plan, an explanation, a projection, a backtest, a summary of the news — is information and automation, not investment advice, and not a recommendation that any investment or strategy is suitable for you. It is not tax advice, legal advice, or accounting advice. We do not know everything about your finances, your taxes, your family, your debts or your plans, and OmniPanda does not consider them.
Naming a security is not recommending it. OmniPanda discusses specific companies, funds and tickers because that is what research is. Mentioning one — or scoring it, comparing it, or including it in a plan — is not us telling you that buying it, selling it, or holding it is the right decision for you.
4.4 No fiduciary relationship. We are not your fiduciary, your trustee, or your financial planner. When you turn on Automatic mode you give us a narrow, revocable authority to place orders in the account you enrolled, as described in section 6 — that limited authority is the whole of our role, and it does not make us your adviser or your agent for any other purpose.
4.5 No guarantee of any outcome. Investing involves risk, including the risk of losing the money you put in. Nothing OmniPanda does is a guarantee of profit, of avoided loss, of any particular return, or of any particular level of risk. Section 18 sets out the risks in more detail.
4.6 Get your own advice. For advice about your own situation, speak to a licensed financial adviser, an accountant or a lawyer. You alone decide what to do with your money.
5. Connecting a brokerage account
5.1 How the connection works. You connect a brokerage by signing in at the brokerage — or with the brokerage's own authorization screen — and approving the connection there. You never give OmniPanda your brokerage password, and we never see it or store it.
5.2 Who provides the connection. We use third-party connection providers to establish and maintain brokerage links, including SnapTrade for most brokerages and a direct integration with Robinhood. Your connection is also subject to that provider's terms and privacy policy, and to your brokerage's. We are not responsible for those third parties' acts or omissions.
5.3 What you authorize. When you connect an account you authorize us, and our connection providers, to access that account on your behalf in order to provide the Service. Depending on the brokerage and the type of connection you chose, that can include:
- account details, such as the account type, name, institution, and a masked account number;
- balances, cash and buying power;
- positions, quantities, market values and cost basis, where your brokerage supplies it;
- order history, transaction history and other account activity; and
- at brokerages that support trading through OmniPanda, the ability to place, and where possible cancel, orders in that account.
5.4 Read-only brokerages. Some brokerages only allow reading. You will see all your data, but you cannot trade through OmniPanda or enroll that account in AI Portfolio. You would place any trade directly with your brokerage instead.
5.5 Accuracy. The data you see in OmniPanda comes from your brokerage and from our connection providers. It can be delayed, incomplete, out of date or wrong, and it may not match what your brokerage shows you. Your brokerage's own records are the authoritative ones. Check them before acting.
5.6 Ending a connection. You can disconnect a brokerage at any time from the Accounts page. Disconnecting removes our stored connection and stops any AI Portfolio management running on that brokerage's accounts. It does not close your brokerage account, does not cancel orders already sent to your brokerage, and does not sell or move anything you hold.
Some brokerages need a second step that only you can take. Where a brokerage grants access through its own app, the authorization can only be fully revoked inside that app — we cannot revoke it for you. Where that applies we tell you so in the app, and until you complete that step at your brokerage the authorization continues to exist there. If you want to be certain access is gone, do both: disconnect in OmniPanda, and remove OmniPanda in your brokerage's app.
5.7 We keep a record. After you disconnect, we keep a record of what happened while the account was connected — the orders and activity OmniPanda was involved in, and the runs it performed. This is for our records, for your history, and to meet our own legal obligations. Our Privacy Policy explains retention and how to ask for deletion.
5.8 Your brokerage may change or break things. Brokerages change their systems, their rules and their permissions without telling us. A connection can stop working, a feature can stop being supported, and a brokerage can refuse an order for its own reasons. We do not control that and we are not responsible for it.
6. How trades happen: approval mode and Automatic mode
6.1 Two modes, per account. Each account you enroll in AI Portfolio runs in one of two modes. Enrollment starts in Approval Required, you can see the mode in that account's settings, and you can change it at any time. Each enrolled account has its own mode.
6.2 Approval Required. OmniPanda reviews the account on your schedule and produces a trade plan — every proposed buy and sell, with its reasoning. Nothing is placed until you approve it. You can approve the plan, reject it, or ignore it and let the next review produce a fresh one.
6.3 Automatic mode (autopilot). In Automatic mode, OmniPanda places the trades in the plan as soon as a review finishes, without asking you first. There is no per-trade approval and no per-plan approval. You will not be asked again, for any individual trade, until you change the mode.
This is the most consequential choice in the Service, so to be as plain as we can:
- You turn it on. Automatic mode only applies to an account you enrolled yourself, and only while you leave that account in Automatic mode. We never enroll an account for you and never switch an account into Automatic mode for you.
- You choose it, and we ask you to confirm it. Enrollment opens on Approval Required. Moving an account to Automatic — while you are enrolling it, or later from its settings — asks you to confirm that OmniPanda may trade in that account without asking you each time. We ask every time you make that switch in the app.
- Check the mode before you finish enrolling. The enrollment screen shows the mode it will use, and a summary before you confirm. Read it. If you want to approve each plan, leave it on Approval Required.
- You set the limits. Before OmniPanda manages an account you answer questions about your goals and risk tolerance, and you set the guardrails described in section 7 — how often it reviews, how much of the portfolio may change hands in one review, how many orders one review may place, and how concentrated a single position or sector may get.
- You can stop it at any time. You can switch the account back to Approval Required, pause or stop the portfolio, or disconnect the brokerage. Any of those stops future automatic trading. Stopping is not retroactive: it does not undo trades already placed, and it does not cancel an order already sent to your brokerage. Orders in flight are between you and your brokerage.
- You remain responsible. The account is yours. The trades are yours. The gains, the losses, the fees, the interest, the dividends and the taxes are yours. You are the account owner and, as between you and us, you are responsible for the activity in your account, including activity OmniPanda initiated under the authority you gave it.
- Nothing is guaranteed. Automatic mode is not a promise of profit, of a smoother ride, of fewer losses, or of faster reactions to the market. It can lose money. It can lose money faster than you would have. It can trade at a bad time, buy something that falls, or sell something that then rises.
- Execution risk is real. Orders may fill at a worse price than the one shown, fill in part, fill late, or not fill at all. Markets gap, halt and move between the moment a plan is made and the moment an order reaches the market. OmniPanda does not place orders continuously, does not monitor your positions tick by tick, and is not a stop-loss, a hedge, or any other kind of protection.
- Timing is not guaranteed. Reviews are scheduled, not instantaneous. A review may run late, may run outside the hours you expected, or may not run at all — because of an outage at us, at your brokerage, at a data provider, or because a market is closed. A missed review is not a breach of these terms.
- You give up your brokerage's own checks. When you place an order yourself at your brokerage, you see its confirmation screen, its warnings, its fee and margin disclosures, and you get the chance to change your mind. An order OmniPanda places skips all of that. Your brokerage treats the instruction as yours, executes it as yours, and applies its own rules — including margin, pattern-day-trading and permission rules — as if you had entered it. If your account permits margin, a trade may use it.
- Tax consequences are yours. Automatic trading can create taxable gains, short-term gains, wash sales and other tax consequences. OmniPanda does not do tax planning and does not optimise for your tax position. Talk to your own tax adviser.
- We may pause it. We may pause, limit or stop automatic trading for an account, or for everyone, at any time — for example during an outage, a suspected bug, a data problem, a suspected security issue, a billing problem, or if we think it is the safer thing to do. We will try to tell you, but we may have to act first. Do not treat OmniPanda as the thing standing between you and a loss.
6.4 Trades you place yourself. When you use the trade widget, you are the one placing the order. Check the symbol, side, quantity, order type and account before you submit. Once your brokerage accepts an order, changing or cancelling it is subject to your brokerage's rules and to market conditions, and may be impossible.
6.5 Market hours. Orders placed while the market is closed may not fill until it reopens, and may fill at a very different price.
7. Limits, guardrails and your investor profile
7.1 Your investor profile — your goals, time horizon, risk tolerance and any constraints you give us — shapes what OmniPanda proposes. You can edit it, and you can tune it for an individual enrolled account.
7.2 Each enrolled account also has explicit guardrails: how often it is reviewed, a ceiling on how much of the portfolio may change hands in a single review, a cap on how many orders a single review may place, and per-position and per-sector concentration ceilings.
7.3 OmniPanda is designed not to exceed the limits you set, and it may hold or skip a proposed trade for that reason, or because the account lacks the cash, or because your brokerage does not support that kind of order. Design is not a warranty. Software has bugs, data can be wrong, and a brokerage can behave unexpectedly. We do not warrant that a limit will always be honoured, and section 19 applies if one is not.
7.4 Your limits are not risk control. A portfolio held entirely inside your limits can still lose a great deal of money.
7.5 Every review and its reasoning is saved in your run history, so you can see after the fact what was proposed, what was placed, and why.
8. Paper accounts
8.1 A paper account is a simulation. It holds virtual cash, not money. No order in a paper account ever reaches a market, a brokerage or a counterparty, and no position in one is real.
8.2 Simulated results are not real results and are not a prediction of real results. A simulation cannot reproduce real fills, real spreads, real slippage, real liquidity, real fees, real interest, real halts or real taxes, and it benefits from knowing prices it would not have known at the time.
8.3 Backtests and other historical or hypothetical results have the same limits, and the added one that they are constructed with hindsight. Past performance, simulated or real, does not predict future results.
9. AI features and their limits
9.1 Much of the Service is powered by AI models, including large language models. Our AI Disclosure describes how we use them, and you should read it.
9.2 In short: AI output can be wrong, incomplete, out of date, internally inconsistent, or confidently mistaken. It can misread a number, miss news, invent a fact, misunderstand your question, or repeat a mistake it made earlier. It may not reflect today's market. Two identical questions can get different answers.
9.3 Do not rely on AI output alone, and do not treat it as advice, as a prediction, or as a substitute for your own judgement or a professional's. Check anything that matters — prices, holdings, balances, order details, tax treatment — against your brokerage and against a primary source before you act.
9.4 AI output is generated automatically. It is not reviewed by a human before you see it, and it is not tailored to your full financial situation.
9.5 We do not warrant that AI output is accurate, complete, current, suitable for you, or free of bias, and we do not warrant that any AI feature will be available or will behave consistently.
10. Market data and other third-party information
10.1 Quotes, charts, fundamentals, news, estimates, ratings, corporate actions, sector classifications and similar information come from third-party data providers and from your brokerage.
10.2 Quotes are real-time or near real-time for most US listings, and they can be delayed — for example outside regular trading hours, for some markets and some instruments, or when a provider is slow. Where we describe a quote as real-time we mean it is the most recent price our data provider gave us — not a guarantee of the price at this instant, and not a quote you can trade on. We do not guarantee that any price is accurate or current. Treat every price in the Service as indicative, and treat your brokerage's order screen as the only price that counts. Data can also be wrong, incomplete, revised, or simply missing.
10.3 Third-party content is the responsibility of the party that produced it. We do not endorse it, we do not verify it, and we are not liable for it or for anything you do because of it.
10.4 Market data is provided for your personal, non-commercial use. You may not redistribute it, resell it, republish it, or use it to build a competing product or dataset. Data providers may impose further restrictions, and those restrictions apply to you as well.
10.5 Any projection, target, estimate, model output or forward-looking statement in the Service is an opinion about an uncertain future, not a fact.
11. Plans, points and payments
11.1 Plans. OmniPanda has a free plan and paid subscription plans, billed monthly or annually. What each plan includes, and what it costs, is shown on our pricing page, which is part of these terms by reference.
11.2 Points. Points are the internal credit that AI activity draws on — chat, backtests and AI Portfolio runs each consume points automatically as you use them. You do not spend points by hand. We do not publish exact per-action costs, and we tune them over time. If you run out of points, AI features stop working until you have more — including a scheduled AI Portfolio review, which is skipped rather than queued. Keeping enough points on your account is your responsibility, and a skipped review is not a breach of these terms.
11.3 How you get points. The free plan includes a one-time starter grant. Paid plans include a points grant that refreshes each billing month when your subscription renews. You can also earn points through achievements and referrals, and buy additional points as a one-time point pack.
11.4 Points are not money. Points have no cash value. They are a licence to use the Service, not currency, not a security, not a stored-value or gift-card balance, and not your property. You may not sell, transfer, trade or gift them, and you cannot redeem them for cash.
11.5 Points are non-refundable, including points granted with a subscription, points earned through achievements or referrals, and points bought in a point pack — except where the law says otherwise.
11.6 Expiry and forfeiture. Points do not expire. Points you buy in a point pack, and points already granted to you, stay on your account while it is open, including if you cancel a paid plan. A paid plan grants points on a schedule, and the date the app shows you is when your next grant arrives — it is not an expiry date. Unused points carry over. Points are forfeited when your account is closed or terminated, and are not refunded. We may adjust, withhold or reverse points obtained through error, abuse, fraud, or a breach of these terms — including referral or achievement points obtained through fake or duplicate accounts.
11.7 Changes to the points economy. We may change what actions cost, the size of grants, and what points can be used for. We will not reduce the grant you have already been given for a billing period you have already paid for.
11.8 Payments and Stripe. Payments are processed by Stripe. You enter your card details on Stripe's own hosted pages — we never see or store your full card number. Stripe's terms and privacy policy apply to the payment itself. You promise that the payment method you use is yours and that you are authorized to use it.
11.9 Auto-renewal. Paid plans renew automatically at the end of each billing period, at the then-current price, until you cancel. You authorize us and Stripe to charge your payment method for each renewal, and for any point packs you buy.
11.10 Cancelling. You can cancel at any time from the billing portal in the app. Cancellation takes effect at the end of the billing period you have already paid for — you keep access until then, and you are not charged again. Cancelling a subscription does not delete your account; see section 25.
11.11 Refunds. We do not give refunds. We may make an exception at our discretion — for example for a charge you did not authorise, a double charge, or a feature that was broken for most of a period you paid for. Points are not refundable, including points bought in a point pack. Section 24.4 is the one refund we commit to. Nothing in this section limits a refund right you have under the law that applies to you. Purchases made through an app store are also subject to that store's refund rules, and a refund for such a purchase may have to be requested from the store.
11.12 Price changes. We may change prices. For a subscription, we will give you notice before a change applies to your renewal, and you can cancel before it takes effect.
11.13 Failed payments. If a payment fails we may retry it, downgrade you to the free plan, or suspend paid features until it clears.
11.14 Taxes. Prices may exclude tax. You are responsible for any tax due on your purchase other than tax on our net income.
11.15 Free plan and trials. We may change or withdraw the free plan, a promotion or a trial at any time, and we may limit who is eligible.
12. Notifications and communications
12.1 By creating an account you agree to receive communications from us electronically — in the app, by email, and, in our mobile app if you allow it, by push notification. This includes account, security, billing and service messages. If you allow push notifications, we store a token for your device so we can deliver them, and we remove it when you sign out.
12.2 You can turn marketing emails off using the unsubscribe link, and you can turn push notifications off in your device settings. You cannot turn off essential account, security, billing and legal messages while you have an account.
12.3 You agree that electronic records and electronic signatures satisfy any legal requirement that a communication or an agreement be in writing.
12.4 Notifications are a convenience and they can be delayed, duplicated, or fail to arrive. Do not rely on a notification to tell you something important about your money in time. Your brokerage is the authoritative source.
13. Acceptable use
You agree not to:
13.1 break the law, or use the Service for market manipulation, insider trading, front-running, spoofing, layering, wash trading, money laundering, sanctions evasion or any other market abuse or financial crime;
13.2 use the Service for anyone other than yourself — including managing another person's money, giving advice to others for compensation based on OmniPanda output, or operating the Service as a service to third parties — unless we have agreed in writing;
13.3 scrape, crawl, bulk-download, resell or redistribute the Service or its content or data, or use it to train a machine-learning model, or build a competing product from it;
13.4 reverse engineer, decompile or try to extract our source code, prompts, models or algorithms, except where the law expressly allows it;
13.5 use bots, scripts or automated means to access the Service, other than an interface we document and offer for that purpose;
13.6 probe, scan, overload, disrupt or try to gain unauthorized access to the Service, our systems, or another user's account;
13.7 upload malware, or content that is unlawful, infringing, hateful, harassing, or that you do not have the right to share;
13.8 try to make our AI produce unlawful output, bypass its safeguards, or impersonate OmniPanda; or
13.9 misrepresent who you are, create accounts by automated means, or abuse referrals, achievements, trials or promotions; or
13.10 put into chat, or upload, material non-public information, another person's personal information, health information, or anything you are under a duty of confidence not to share. The assistant is not built to hold that kind of information, and putting it there may breach the law as well as these terms.
We may investigate, remove content, restrict features, and suspend or terminate accounts for a breach of this section.
14. Your content, and feedback
14.1 Your content. You keep ownership of what you put into the Service — your messages, your watchlists, your strategies, your notes and your profile. You give us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display that content, and to create derived material from it, for the purpose of operating, securing, supporting and improving the Service. That licence ends when the content is deleted, except for copies we must keep as described in our Privacy Policy.
14.2 You promise you have the right to share whatever you put into the Service.
14.3 Sharing. If you use a feature that creates a public link to something you made, you are choosing to make that content available to anyone who has the link.
14.4 Feedback. If you send us an idea, a suggestion or a bug report, we may use it for any purpose without owing you anything, and without any obligation of confidentiality.
14.5 AI and your data. Our Privacy Policy and AI Disclosure explain how your data is used in connection with AI features, including what is and is not used to improve the Service.
15. Our intellectual property
15.1 The Service, and everything in it that we made — software, design, text, graphics, the OmniPanda name and logo, our prompts, models, methodologies and documentation — belongs to us or our licensors and is protected by intellectual property law.
15.2 We grant you a personal, limited, revocable, non-exclusive, non-transferable licence to use the Service as it is intended, while these terms are in force. That is all. Nothing else is granted, expressly or by implication.
15.3 You may not use our name, logo or branding without our written permission.
16. Availability, beta features and changes
16.1 The Service is provided on an "as available" basis. There is no uptime commitment and no service-level agreement. We typically answer a support email within one business day, but that is not a commitment. We may take the Service down for maintenance, and it may be unavailable for reasons outside our control. While the Service is in limited release we may also restrict access to an approved list of users, and being able to create an account does not guarantee access to every feature.
16.2 Parts of the Service are new, experimental, or labelled beta or preview. They can be incomplete, unstable, wrong, or withdrawn without notice, and they may produce results we have not fully validated. Use them at your own risk, and do not put money behind one you do not understand.
16.3 We may add, change, limit or discontinue features, brokerage integrations, data sources, plans and limits at any time. If we discontinue a paid feature that was material to your plan, you may cancel, and section 11.11 applies.
16.4 We may set reasonable usage limits — on request rates, data volumes, run frequency and similar — to keep the Service working for everyone.
17. Third-party services
The Service connects to and depends on third parties, including your brokerage, brokerage connection providers, market data providers, our payment processor, cloud and infrastructure providers, communication providers and AI model providers. We choose them with care, but we do not control them, we do not guarantee them, and we are not responsible for their acts, omissions, outages, errors, security or terms. When you use a third party through the Service, that third party's terms apply to you as well.
18. Investment risk — please read
You accept the following, and you accept them as your own risk, not ours:
18.1 All investing involves risk, and you can lose money, including more than you expected and, in some accounts, more than you deposited.
18.2 Prices go down as well as up. A position can lose all of its value. A company can fail.
18.3 Past performance — real, simulated or backtested — does not predict future results.
18.4 Markets can be volatile, illiquid, halted, or closed. Gaps, circuit breakers and fast moves can make a price unavailable exactly when you want it.
18.5 Orders can be delayed, partially filled, filled at an unexpected price, rejected, or not filled at all.
18.6 Diversification and concentration limits reduce some risks. They do not prevent loss.
18.7 Automated and algorithmic strategies carry their own risks: a flawed model, bad or delayed data, an unforeseen market regime, a technical failure, or simply being wrong. Automation can execute a mistake quickly and repeatedly.
18.8 Technology fails. Outages at us, at your brokerage, at a data provider or at a network in between can stop a trade, delay a review, or show you something stale — and can do so at the worst possible moment.
18.9 Margin, options, leverage, short selling, crypto and thinly traded securities carry additional and sometimes very large risks, including losses greater than your investment. Your brokerage's own disclosures cover these, and you should read them.
18.10 Fees, spreads, interest, currency movements, corporate actions and taxes all reduce returns.
18.11 Limited scope. OmniPanda sees the account you connected and the profile you gave it. It does not see your other accounts, your other assets, your debts, your income, your insurance, your tax position or your plans — so it cannot judge whether a position is right for your life as a whole.
18.12 Integration risk. The Service depends on brokerage and data interfaces we do not control. A changed, throttled or broken interface can cause stale data, a missed review, a failed order, or an order placed on the wrong assumption.
18.13 Delay risk. There is a gap between the moment data is read, the moment a decision is made, and the moment an order reaches the market. In a fast market that gap costs money.
18.14 Only invest money you can afford to lose, and make your own decision about whether any investment or strategy fits you.
19. Disclaimer of warranties
19.1 The Service is provided "as is" and "as available", with all faults and without warranty of any kind.
19.2 To the fullest extent the law allows, we disclaim all warranties, express, implied and statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from a course of dealing or trade usage.
19.3 We do not warrant that the Service will be uninterrupted, timely, secure or error-free; that any data, output, calculation, plan or projection is accurate, complete or current; that a defect will be corrected; that a limit you set will always be honoured; or that the Service will meet your expectations or produce any particular financial result.
19.4 No advice or information you get from us or from the Service creates any warranty.
19.5 Some jurisdictions do not allow certain disclaimers. In those places, this section applies to the maximum extent permitted, and you may have rights that this section cannot take away.
20. Limitation of liability
20.1 To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost trading profits, lost opportunity, investment losses, lost data, or loss of goodwill — whether in contract, tort, negligence, strict liability or otherwise, and whether or not we were told such damages were possible.
20.2 To the fullest extent the law allows, our total liability to you for all claims relating to the Service is limited to the greater of (a) the total amount you paid us in the 12 months before the event giving rise to the claim and (b) one hundred US dollars (US$100).
20.3 Specifically, and without limiting section 20.1, we are not liable for: trading losses or missed gains; a trade placed, not placed, delayed, duplicated or cancelled; a limit that was not honoured; inaccurate, delayed or missing market or account data; an act, omission, outage or error of your brokerage, a connection provider, a data provider, a payment processor or any other third party; unauthorized access not caused by our failure to use reasonable security; or your own decisions.
20.4 These limits apply even if a remedy fails of its essential purpose, and they are a fundamental part of the bargain between us — without them, we could not offer the Service at this price.
20.5 Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, for fraudulent misrepresentation, or for death or personal injury caused by negligence. If you are a consumer, you keep any rights the law gives you that a contract cannot remove.
21. Indemnification
You agree to defend, indemnify and hold harmless Pandamensional Inc., and our officers, directors, employees, contractors and agents, from any claim, demand, loss, liability, damage, fine, penalty, cost or expense — including reasonable legal fees — arising out of or related to: your use of the Service; your breach of these terms or of any law; your brokerage account and the activity in it; your content; the tax treatment of your trades; or a claim by a third party that arises from any of these. We may take over the defence of any such claim at our own expense, and you agree to cooperate.
22. Resolving disputes
22.1 Talk to us first. If something goes wrong, email info@pandamensional.ai with a description of the problem and what you want. Most things are fixed this way. Neither of us may start a formal proceeding for 30 days after that notice, so that we have a chance to settle it.
22.2 Binding arbitration. If we cannot settle it, you and we agree that any dispute arising out of or relating to these terms or the Service will be resolved by final and binding individual arbitration, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, before one arbitrator, seated in Athens-Clarke County, Georgia, and conducted in English. If you are an individual bringing a claim, you may choose instead to have the arbitration heard by telephone, decided on written submissions, or held in person in the county where you live. The arbitrator decides questions of arbitrability, and may award the same individual relief a court could. Judgment on the award may be entered in any court with jurisdiction.
22.3 Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies, and either of us may ask a court for an injunction to protect intellectual property or to stop unauthorized access to the Service.
22.4 No class actions. You and we agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any representative proceeding. If this paragraph is found unenforceable as to a particular claim, that claim — and only that claim — proceeds in court, and the rest of this section still applies.
22.5 Jury trial. If a dispute does end up in court, you and we each waive the right to a jury trial, to the extent the law allows.
22.6 Opt out of arbitration. You can reject sections 22.2, 22.4 and 22.5 by emailing info@pandamensional.ai within 30 days of first accepting these terms, with your name, the email on your account, and a clear statement that you opt out of arbitration. Opting out costs you nothing else and does not affect the rest of this agreement.
22.7 Time limit. To the extent the law allows, any claim must be brought within one year after it arises, or it is permanently barred.
22.8 Survival. This section survives the end of this agreement and the closing of your account.
23. Governing law and venue
These terms, and any dispute about them or about the Service, are governed by the law of the State of Georgia, without regard to its conflict-of-laws rules. Where a dispute is not subject to arbitration, you and we submit to the exclusive jurisdiction of the state and federal courts located in Athens-Clarke County, Georgia. If you are a consumer resident elsewhere, this does not deprive you of the protection of the mandatory law of your own country of residence.
24. Suspension and termination
24.1 By you. You can stop using the Service at any time. You can cancel a paid plan under section 11.10, disconnect a brokerage under section 5.6, and delete your account under section 25.
24.2 By us. We may suspend or terminate your access, or any part of the Service, immediately and without notice, if: you breach these terms; we are required to by law or by a third party we depend on; your payment fails; we reasonably suspect fraud, abuse, market abuse or a security risk; or your use exposes us, another user or a third party to legal or financial risk. Where it is reasonable to do so, we will give you notice and a chance to fix the problem. We may also discontinue the Service, or a part of it, with reasonable notice.
24.3 What termination means. On termination, your licence ends, your access ends, any AI Portfolio enrollment stops, and unused points are forfeited. Termination does not close your brokerage account and does not sell, move or protect anything you hold. Your positions remain yours, at your brokerage, exposed to the market, and it is your responsibility to manage them from that point on. If you rely on OmniPanda to manage an account, you must have a plan for what happens when it stops.
24.4 Refunds on termination. If we terminate your paid plan for convenience — not for your breach — we will refund the unused part of the period you had already paid for. If we terminate for your breach, we will not.
24.5 Survival. Sections 4, 5.7, 8, 9, 10, 11.4 to 11.6, 14.4, 15, 17 to 23, 24.3, and 26 to 29 survive termination.
25. Deleting your account and your data
25.1 You can delete your OmniPanda account and the personal data associated with it yourself, at any time, in the app or on the web: Settings → Profile → Delete account. How to delete your account walks through it and lists what we delete and what we keep. If you cannot sign in, email info@pandamensional.ai from the address on your account, and we will delete your account within 30 days.
25.2 We will confirm your request, verify that it is you, and delete or anonymise your personal data within 30 days, except for what we must keep — for example records we need for tax, accounting, anti-fraud, security or legal-obligation reasons, and records of transactions and orders. Our Privacy Policy explains this in more detail.
25.3 Before you delete, note that: deleting your OmniPanda account does not close your brokerage account and does not sell, move or protect your holdings; any AI Portfolio management stops; unused points are forfeited and are not refunded; and we cannot restore a deleted account.
25.4 Cancelling a subscription is not the same as deleting your account, and deleting your account is not the same as cancelling a subscription bought through an app store — cancel the store subscription in the store as well, or it may keep billing you.
26. General
26.1 Changes to these terms. We may change these terms. When we do, we will update the "Last updated" date on this page, and for a material change we will give you reasonable advance notice — by email, in the app, or both — before it takes effect. If you keep using the Service after a change takes effect, you accept it. If you do not accept it, stop using the Service and close your account. A change to the arbitration section does not apply to a dispute we already knew about.
26.2 Entire agreement. These terms, together with the Privacy Policy, the AI Disclosure and any plan or pricing terms we point you to, are the whole agreement between you and us about the Service, and replace anything said before.
26.3 Assignment. You may not assign or transfer this agreement. We may assign it to an affiliate, or in connection with a merger, acquisition, reorganisation or sale of assets.
26.4 Severability. If a provision is unenforceable, it is modified to the minimum extent needed to make it enforceable, or severed, and the rest stays in force.
26.5 No waiver. If we do not enforce a right, we have not waived it.
26.6 Force majeure. Neither of us is liable for a failure caused by something outside our reasonable control — including a market disruption, an exchange or brokerage outage, a network or cloud failure, a cyber attack, a change in law, a natural disaster, a war or a labour dispute.
26.7 No third-party beneficiaries, except that our service providers and licensors may enforce the provisions that protect them.
26.8 Relationship. Nothing here creates a partnership, joint venture, employment or agency relationship between us, beyond the limited trading authority described in section 6.
26.9 Notices. We may give you notice by email to the address on your account, or in the app. You give us notice at info@pandamensional.ai.
26.10 Language. These terms are written in English, and the English version governs.
26.11 Headings are for convenience and do not affect meaning.
27. Our mobile apps and the app stores
27.1 If you install our iOS or Android app, these terms still apply, and the app store's own terms apply as well.
27.2 Licence. We grant you a licence to use the app on a device you own or control, as the app store's usage rules permit. You may not distribute it, make it available over a network to multiple devices at once, or tamper with it.
27.3 The store is not us. Apple and Google did not make OmniPanda, do not review what it does, and are not responsible for it. They have no warranty obligation and no support obligation for the app. If the app does not conform to a warranty that cannot be disclaimed, your remedy against the store is limited to a refund of what you paid the store for the app, if anything. Everything else — support, maintenance, product liability, any claim that the app infringes someone's intellectual property, and any claim under consumer protection or privacy law — is between you and us, subject to these terms.
27.4 Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.
27.5 Your representations. You confirm you are not located in a country subject to a US embargo or designated as supporting terrorism, and that you are not on a US prohibited-or-restricted-party list.
27.6 Store purchases. Where a subscription or a points purchase is made through an app store's in-app purchase system, that store — not us — handles the payment, the renewal and the refund, under its rules. Cancel a store subscription in the store; cancelling in OmniPanda, or deleting your OmniPanda account, does not stop a store from billing you.
27.7 Support. Questions about the app come to us at info@pandamensional.ai, not to the store.
28. Copyright complaints
If you believe something in the Service infringes your copyright, email info@pandamensional.ai with: your contact details; identification of the work; identification of the material you say infringes it and where it is; a statement that you have a good-faith belief the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for them; and your signature. We will respond as the US Digital Millennium Copyright Act requires, and we may remove material and terminate repeat infringers. Our designated copyright agent, registered with the US Copyright Office under registration number DMCA-1081230, is Pandamensional Inc., 103 Mint Pl, Athens, GA 30606, USA, info@pandamensional.ai.
